Poland's biggest sports betting deal
Representation of Poland's largest sports betting operator STS Holding and its majority shareholders on the US$1 billion sale of all their shares in the company to Entain CEE. This was one of the largest public-to-private deals in the Polish market in recent years.

Eurowag's acquisition in mobility payments
Representation of Eurowag, a leading pan-European integrated payments and mobility platform focused on the commercial road transportation industry on the €306 million acquisition of Inelo from Innova Capital and certain other vendors. The acquisition is a Class 1 transaction under the Listing Rules.

Nexi Group's M&A expansion across the Polish payments market
Representation of the Nexi Group (formerly the Nets Group), one of the largest payment companies in Europe, on several M&A transactions, including: (i) the acquisition of the shares and assets comprising the payment business of paytec, a German payment company; (ii) the €405 million acquisition of Centrum Rozliczeń Elektronicznych Polskie ePłatności, a leading Polish merchant acquirer; (iii) the €70 million acquisition of Dotpay/eCard (Dotcard), one of the leading companies on the Polish digital payment market; and (iv) the establishment of a strategic alliance with Przelewy24, a leading Polish online payment service provider.

Liberty Global's billion-dollar Polish cable exit
Representation of Liberty Global, one of the world's leading converged video, broadband and mobile communications companies, on the US$1.8 billion sale of 100% of the share capital in Polish cable operator UPC Poland to iliad's Polish mobile subsidiary Play.

Major renewable energy acquisitions across Europe
Representation of Octopus Renewables Infrastructure Trust, an investment trust listed on the LSE [London Stock Exchange] focused on renewable energy assets across Europe, the UK and Australia, on several M&A transactions in Poland, including the acquisition and subsequent sale of the Krzęcin and Kuślin onshore wind farms in Poland, with a combined capacity 59 MW, and the acquisition of a Polish wind farms portfolio with a combined capacity of 45 MW from OX2.

Record e-commerce and logistics sale in CEE
Representation of the PPF Group, EC Investments and Rockaway Capital on the €881 million sale of the e-commerce assets of the Mall Group and the logistics assets of WE|DO to Allegro. The sold business includes assets in the Czech Republic, Hungary, Slovenia, Croatia and Poland.

Synthos transformation into a global synthetic rubber giant
Representation of Synthos, a chemical concern and a key player in the global synthetic rubber market, on the US$450 million acquisition of synthetic rubber operations based in Germany, from Trinseo, a global manufacturer of plastics and synthetic rubber. As a result of the transaction, the Synthos group became one of the three largest players in the synthetic rubber industry in the world.

Takeda's European pharmaceutical portfolio divestment
Representation of Takeda Pharmaceutical Company, a global biopharmaceutical leader headquartered in Japan, on an agreement to divest a portfolio of 130 pharmaceutical products sold in Europe, and two manufacturing sites located in Denmark and Poland, to the Orifarm Group for US$670 million.

Acquisition of CEE's largest data center operator
Representation of Global Compute Infrastructure on the acquisition of ATM, one of the largest data center operators and communications infrastructure businesses in CEE, from a consortium of funds.

Landmark IPOs on the Warsaw Stock Exchange
Advising on the biggest IPOs on the Warsaw Stock Exchange, including the IPOs of Murapol (the only IPO on the WSE in 2023), STS Holding (US$280 million), Grupa Pracuj (US$285 million), Huuuge, Inc. (US$425 million), Play Communications (US$1.119 billion), and Dino Polska (US$420 million).

Poland's largest-ever US dollar bond issuance
Representation of the State Treasury of the Republic of Poland, represented by the Minister of Finance, on the issuance of US$8 billion of notes registered with the SEC under its shelf registration statement. This is the largest State Treasury bond issuance in the US dollar market. Furthermore, for many years we have advised the Ministry of Finance on numerous Polish bond issuance projects in global markets, including the European, US and Chinese markets.

Multibillion-dollar bond offering by a Polish state-owned bank
Representation of BGK, a Polish state-owned development bank and the only entity whose sole shareholder is the State Treasury, on the US$1 billion 5-year and US$1.75 billion 10-year bonds issuance guaranteed by the State Treasury of the Republic of Poland.

Innovative sustainable financing for a Polish mining leader
Representation of Jastrzębska Spółka Węglowa (JSW), the largest producer of high quality hard coking coal in the EU and one of the leading producers of coke used for smelting steel, on an innovative financing under the SLL formula. The PLN 1.65 billion financing is the first in the mining sector in Poland to use the SLL formula and one of the first in this sector in CEE. The SLL formula is an innovative financing mechanism that ties the loan terms directly to the borrower's achievement of predefined sustainability performance targets.
